The following terms and conditions apply to all Dimachem Inc. Sales regardless of brand:Dimachem & Dimachem Cleaning Solutions, Chemfil, EZ Strip

1. All sales are FOB EX WORKS unless otherwise stated on a Dimachem official signed Quotation.
2. The price quotation and delivery dates are based upon Seller's existing stock and its ability to obtain raw materials at present costs in the event existing stock is exhausted when Buyer's order is received. Seller shall not be liable for failure to make delivery or deliveries when due, if caused by act of God or the public enemy, accident, fire storm, earthquake, flood, strikes labour troubles, riots, sabotage, embargo, war Federal, Provincial, or Municipal law, ordinance, rule regulation, order license, priority, seizure, requisition, supplier allocation, epidemic, or circumstance of a similar or different nature beyond the reasonable control of Seller, or by failure of transportation, inability to obtain supplies, equipment, fuel, or labour or by compliance with any order of request of the Canadian Government or any agency, officer, or committee thereof, or by compliance with the request of any producer for material to be used in the production of articles for the national defense program; but the total quantity to be delivered hereunder shall be reduced to the extent of the deliveries omitted for such cause or causes.
3. If buyer does not make payment in accordance with terms hereof, of it in Seller's opinion, Buyer's credit becomes impaired. Seller may at its option either cancel the contract as to any undelivered portion thereof or make delivery of such undelivered portion only for cash. 2% per month is charged on overdue accounts. $50 processing/handling fee is charged in addition to any bank fees for NSF cheques or EFT returns. Products remain property of Dimachem Inc until balance paid in full. Unless otherwise stated, terms are NET30.
4. All pricing information is confidential to the intended recipient shown above and may not be shared with any third party without the express written consent of Dimachem.
5. Dimachem supports recycling and reuse. Our re-certifiable and reusable containers/packaging (55 L drums, 205 L drums, steel drums, IBC totes, and pallets) remain property of Diamchem even if, as a customer service, we do not charge you a deposit. All re-certifiable and reusable containers including 55 L drums, 205 L drums, steel drums, IBC totes, and Dimachem pallets must be returned in good condition, within a month of use. Delay in the return or use other than the intended product delivery may result in a charge of up to $250 per item for lost container replacement as well as the implementation of a container deposit to your account moving forward. Contact order desk with a completed Empty Drum/Container Pick-Up Request Form to make arrangements for empty container pick up. Note, there is a minimum of 20 drums required for no charge pickup.
6. Quotations expires in thirty (30) days if not accepted with a Purchase Order. Raw Material surcharges may be applied. Prepaid freight may be subject to fuel surcharges. Additional charges such as rush order charge ($150) or Minimum order charge ($150) or fees and or expenses related to collection of late payments may be charged. If a product is not purchased for 180 days, the pricing is deactivated and requoted as required.
7. All payment costs including credit card merchant fees or charges are to be paid by the buyer. The Maximum amount that may be paid by credit card is $5000. Our credit card only allows this amount as credit cards are for web sales and miscellaneous, incidental charges. Most payment should be by cheque, electronic transfer, or Pre Authorized Debit (PAD) without incurring additional merchant fees.
8. Receiver is responsible for providing a regulation level loading dock and all unloading operations/equipment unless prior written arrangement is made at time of Purchase Order.
9. All products are sold without warranty of any kind and purchasers will, by their own tests, determine the suitability of such products for their own use.
10. Dimachem fills all containers by weight. Any reference to “205L drums” or “1025 L totes” or such are purely descriptive. The sell weights are shown on quotes and invoices and this is the only parameter that we control. We sell and control by weight not volume.
11. Any order is shipped with the understanding that material involved is not returnable, except by written arrangement with Dimachem representative. 
12. Initial order requires lead time confirmation through your Dimachem representative. 
13. When the order confirmation is transmitted, the contract is fixed at the price shown on the order confirmation. At this step raw materials and resources are allocated and the sales order becomes irrevocable and non-cancellable by the purchaser.
14. Resale of our products is not allowed without a distribution agreement.
